Darlin NZ – Terms of Trade

1. Application of Terms

These Terms of Trade apply to all goods supplied by Darlin NZ (“we”, “us”, “our”) to any customer (“you”, “your”). By placing an order, you agree to these terms.

These terms apply to wholesale and trade customers only.

2. Orders and Acceptance

All orders are subject to acceptance by Darlin NZ.

We reserve the right to:

  • Decline any order
  • Limit quantities
  • Cancel orders where stock is unavailable

An order is confirmed once we issue written confirmation or invoice.

3. Pricing

All prices are in New Zealand Dollars (NZD).

Unless otherwise stated:

  • Prices are exclusive of GST
  • Freight may be additional

We reserve the right to change pricing at any time prior to order confirmation.

4. Payment Terms

Payment terms will be confirmed at the time of approval.

Unless agreed otherwise:

  • First orders are payable in advance
  • Approved accounts may be on 7-day or 14-day terms

Late payments may incur:

  • Interest at 2% per month
  • Recovery costs including debt collection fees

We may suspend supply if payments are overdue.

5. Delivery

Delivery times are estimates only.

We are not liable for delays caused by:

  • Freight providers
  • Supply chain disruption
  • Events beyond our control

Risk in goods passes to you upon delivery.

You must inspect goods within 48 hours and notify us of any damage or shortages.

6. Returns and Claims

We do not accept returns for:

  • Change of mind
  • Over-ordering

Claims for faulty goods must be:

  • Reported within 7 days
  • Supported with photos

If a product is deemed faulty, we may:

  • Replace the item
  • Provide credit
  • Refund at our discretion

Natural variations in wood grain, colour and texture are not defects.

7. Product Variations

Our products are made from natural acacia wood. Variations in:

  • Colour
  • Grain
  • Texture
  • Pattern

are natural characteristics and not grounds for return.

8. Title and Ownership

Ownership of goods remains with Darlin NZ until payment is received in full.

If payment is not made, we reserve the right to recover goods supplied.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Our liability is limited to the value of goods supplied.
  • We are not liable for indirect, consequential or business losses.
  • We do not guarantee resale performance or suitability for a specific commercial outcome.

Where goods are supplied for business purposes, the Consumer Guarantees Act 1993 does not apply.

10. Intellectual Property

All branding, imagery and product descriptions remain the property of Darlin NZ.

You may not use our brand assets without written permission.

11. Privacy

We collect and use personal information in accordance with our Privacy Policy.

12. Governing Law

These Terms are governed by the laws of New Zealand.
